Terms of Service
Last updated: 6 July 2026. These terms are a binding agreement between you and Square Gate Group (Pty) Ltd, Gaborone, Botswana (“Square Gate”, “we”, “us”) governing your use of the Square Gate Connect platform. By creating an account you accept them.
1. What Square Gate Connect is — and is not
Square Gate Connect is a readiness, verification and matchmaking platform. We help founders evidence their investment readiness and help investors discover and screen opportunities, with introductions facilitated by our mandate desk.
Important: Square Gate Connect introduces parties. We do not hold client money, custody securities, execute transactions, or provide investment, legal, tax or accounting advice. Nothing on the platform is an offer, solicitation or recommendation to buy or sell any security. Diagnostic scores, tiers, percentiles and the Verification Index are informational screening tools, not investment advice or a guarantee of quality or outcome. All investment decisions, due diligence and transaction execution remain entirely your responsibility.
2. Eligibility & accounts
- You must be 18 or older and legally able to enter contracts.
- Investor accounts must represent bona fide investment activity; institutional investors warrant that the registering individual is authorised to act for the institution.
- You are responsible for your credentials and all activity on your account. Two-factor authentication is available and recommended.
- One account per person or institution. Accounts are not transferable.
3. Founder obligations
- All information and documents you submit must be accurate, current and not misleading. Uploading forged or materially misleading documents is grounds for immediate termination and may be reported.
- You must hold the rights to every document you upload.
- You control your data room: access is granted, extended and revoked by you, and every access is logged.
- Listings pass admin review before going live and may be declined or removed at our discretion.
4. Investor obligations
- Identity verification (KYC) is required before contact-level access. We may use third-party verification and sanctions screening providers.
- Confidential information obtained through unlocks, introductions or data rooms may be used solely to evaluate the specific opportunity, and must be kept confidential.
- Circumventing the platform to avoid fees after an introduction is a material breach.
- Scraping, bulk export or redistribution of deal data outside the licensed API is prohibited.
5. Subscriptions & payments
- Paid plans (Growth, Premium Connect, Professional, Institutional) bill monthly in advance through DPO Pay. Prices are shown on the pricing page.
- Cancellation takes effect at the end of the current billing period; access continues until then. Fees already paid are non-refundable except where required by law.
- Failed renewals enter a 7-day grace period with reminders, after which the subscription is suspended.
- Unlock quotas reset each calendar month and unused unlocks do not roll over.
- We may change prices with 30 days' notice effective from your next billing period.
6. API terms (Institutional)
- API access requires an active Institutional subscription and issued API keys.
- Keys are personal to your institution; do not share or embed them client-side.
- Rate limits apply (1000 requests/hour per key) and may be adjusted with notice.
- Data obtained via the API may not be resold or redistributed.
7. Acceptable use
You must not:
- misrepresent your identity, mandate or authority;
- upload unlawful, infringing or malicious content;
- attempt to access data or accounts you are not entitled to;
- interfere with platform integrity, probe security, or overload infrastructure;
- use the platform for money laundering, sanctions evasion or any unlawful purpose.
8. Intellectual property
The platform, diagnostic methodology, scoring models and all related IP belong to Square Gate. You retain ownership of the content and documents you upload and grant us a limited licence to host, process and display them solely to operate the service as you direct.
9. Messaging & records
In-platform messages are immutable and retained for compliance. Our mandate desk may review conversation history where a dispute arises from a facilitated introduction or mandate. Do not share sensitive documents in messages — use the access-controlled data room.
10. Disclaimers & liability
- The platform is provided “as is”. Verification signals reduce, but cannot eliminate, information risk — we do not warrant the accuracy or completeness of any listing.
- To the maximum extent permitted by law, our aggregate liability for any claim is limited to the fees you paid us in the 12 months preceding the claim. We are not liable for indirect or consequential loss, including lost profits or investment losses.
- Nothing in these terms excludes liability for fraud or where exclusion is unlawful.
11. Suspension & termination
You may close your account at any time; data handling on closure follows our Privacy Policy, including your right to erasure. We may suspend or terminate accounts that breach these terms, present fraud or sanctions risk, or where required by law — with notice where practicable.
12. Governing law & disputes
These terms are governed by the laws of the Republic of Botswana. Disputes are subject to the exclusive jurisdiction of the courts of Botswana, after a good-faith attempt at resolution with our team (legal@squaregategroup.com).
13. Changes
We may update these terms. Material changes will be notified by email and in-app at least 14 days before taking effect; continued use after that constitutes acceptance.
